Executor Terms

1. Introduction
These Executor Terms ("Agreement") govern the relationship between you ("Executor") and Kitnetic Solutions Ltd ("Company," "we," "our," or "us") when you provide services through the Flux platform. By registering as an Executor, you agree to be bound by these terms.
2. Eligibility Requirements
To become an Executor, you must meet the following requirements:
- Be at least 18 years of age
- Possess a valid government-issued identification document
- Demonstrate expertise in your designated specialty area
- Have access to stable, reliable internet connection (minimum 50 Mbps)
- Be legally authorized to work in your jurisdiction
- Pass our verification and skill assessment process
3. Independent Contractor Status
You acknowledge and agree that you are an independent contractor and not an employee, agent, joint venturer, or partner of the Company. Nothing in this Agreement shall be construed to create an employment relationship. You are solely responsible for all tax obligations, insurance, and compliance with local laws and regulations applicable to independent contractors in your jurisdiction. The Company will not withhold taxes, provide employment benefits, or make contributions on your behalf.
4. Equipment and Hardware Responsibilities
As an Executor, you are responsible for providing and maintaining:
- A computer capable of connecting to our remote workstations
- Reliable internet connection meeting minimum speed requirements
- Any peripherals necessary for your specialty (keyboard, mouse, display)
- A secure workspace that protects client confidentiality
The Company provides access to M5 Ultra workstations remotely at no cost to Executors. All software licenses required for task completion are provided by the Company.
5. Service Level Expectations
As an Executor, you agree to maintain the following standards:
- Accept only tasks within your verified expertise areas
- Complete accepted tasks within specified timeframes
- Maintain professional communication with the platform
- Report any issues or delays promptly
- Maintain a minimum quality rating as determined by the platform
- Be available during your declared availability windows
6. Payment Terms
Executor compensation is structured as follows:
- Upstream Tier: $25-35 per hour for entry-level tasks
- Midstream Tier: $40-55 per hour for professional tasks
- Downstream Tier: $60-75 per hour for expert-level tasks
Payments are processed weekly, every Friday, for work completed through the previous Sunday. Earnings are paid via bank transfer to your designated account. You must provide valid banking information and any required tax documentation. Customer payments to the platform are processed via Visa and Mastercard only.
7. Confidentiality and Data Protection
You agree to maintain strict confidentiality regarding:
- All client data, files, and information accessed during task execution
- Platform proprietary information and trade secrets
- Internal processes, pricing structures, and business operations
In accordance with the General Data Protection Regulation (GDPR) and applicable data protection laws, you must handle all personal data in compliance with our Data Processing Agreement. You shall not copy, store, or retain any client data beyond what is necessary for task completion. All data must be processed solely on Company-provided infrastructure.
8. Intellectual Property
All work product created during task execution belongs to the respective client or the Company, as specified in the task agreement. You retain no rights to any work product, deliverables, or materials created while performing services. You may not use client work in your portfolio without explicit written consent. Any tools, scripts, or methods developed specifically for platform tasks become the property of the Company.
9. Termination
This Agreement may be terminated under the following conditions:
By Executor
You may terminate this Agreement at any time by providing 7 days' written notice to support@flux.express. You must complete any accepted tasks in progress or return them to the queue prior to termination.
By Company
The Company may terminate this Agreement with 14 days' written notice for convenience, or immediately for cause, including but not limited to: violation of these terms, breach of confidentiality, fraudulent activity, failure to maintain quality standards, or violation of applicable laws.
Upon termination, you will receive payment for all completed work up to the termination date. Your access to platform systems will be revoked, and you must destroy any confidential information in your possession.
10. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to this Agreement or your participation as an Executor. The Company's total liability shall not exceed the amounts paid to you in the three (3) months preceding the claim. You agree to indemnify and hold the Company harmless from any claims arising from your breach of this Agreement or negligent performance of services.
11. Dispute Resolution
Any disputes arising from or relating to this Agreement shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by a recognized arbitration institution within the European Union, in accordance with its rules. The arbitration shall be conducted in English, and the seat of arbitration shall be determined by the arbitration institution. The decision of the arbitrator shall be final and binding on both parties.
12. Modifications to Terms
The Company reserves the right to modify these terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued participation as an Executor after the effective date constitutes acceptance of the modified terms. If you do not agree to the modifications, you may terminate this Agreement as provided in Section 9.
